Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Centrikos, a freelancer client portal SaaS, provided by The Weekly Dev SRL (“we”, “us”, “our”). By creating an account, accessing, or using Centrikos, you agree to these Terms. If you are using Centrikos on behalf of an organization, you represent that you have authority to bind that organization.
1. Definitions
- Service: the Centrikos web application and related features.
- Customer, you: the individual or entity registering an account.
- Tenant: your organization’s workspace within Centrikos.
- Client: your end-customer whose information you manage in the Service.
- Customer Data: data you or your users submit to the Service (including files, notes, client info).
- Subscription: a paid plan enabling features/limits, billed monthly or annually.
2. Eligibility & Account
- You must be at least 16 years old and capable of forming a binding contract.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You will provide accurate information and keep it updated.
3. Subscriptions & Billing
- Plans: Starter (free), Pro, and Studio as described on our pricing page. Annual plans are billed upfront at the equivalent of 10× the monthly price.
- Payment Processor: Billing is handled by Stripe. We do not store full card details. You authorize us and Stripe to charge fees according to your selected plan and billing cycle.
- Renewals: Subscriptions auto-renew until canceled via the billing portal.
- Cancellations: You may cancel at any time; access continues until the end of the current period. Unless required by law, fees are non-refundable and we do not provide partial refunds.
- Upgrades/Downgrades: Upgrades take effect immediately (prorated by Stripe where applicable). Downgrades apply next period; feature/limit changes may apply at renewal.
- Taxes: Prices exclude taxes unless stated. You are responsible for applicable taxes.
- Delinquency: If a charge fails, we may suspend or terminate the Service after reasonable notice.
4. Plan Limits & Fair Use
- Starter: up to 3 clients. Pro: up to 25 clients. Studio: unlimited clients.
- We may enforce limits programmatically. Attempts to circumvent limits or abuse resources are prohibited.
- We may apply reasonable technical safeguards (rate limits, storage constraints) to maintain Service quality.
5. Customer Data & Confidentiality
- You retain all rights in Customer Data. You grant us a limited license to host, process, and transmit Customer Data as necessary to provide the Service.
- We handle Customer Data as confidential and implement appropriate technical and organizational measures to protect it.
- You are responsible for obtaining necessary consents and for the accuracy and legality of Customer Data you submit.
6. Files & Storage (AWS S3)
- Files are stored privately in AWS S3 with encryption at rest and access via short-lived presigned URLs.
- You agree not to upload content that is illegal, infringing, or harmful (malware, abusive content, etc.).
- You are responsible for retaining local copies where required; we are not a records custodian.
7. Emails & Notifications (Resend)
- Transactional and lifecycle emails (e.g., status updates, file notifications) may be sent via Resend.
- Marketing emails are sent only with consent and can be unsubscribed at any time.
8. Acceptable Use
- Do not use the Service to violate applicable laws, infringe rights, or harm others.
- No attempting to gain unauthorized access, probe, or disrupt the Service or related systems.
- No reselling the Service without our prior written permission.
9. Privacy & Data Protection (GDPR)
We process personal data according to our Privacy Policy. If you require a Data Processing Agreement (DPA), contact us; we will provide a GDPR-compliant DPA covering our subprocessors (including AWS, Stripe, Resend).
10. Security
- We implement industry-standard security controls, including encryption, least-privilege access, and auditability.
- You are responsible for securing end-user devices and accounts (e.g., strong passwords, MFA if available).
11. Availability & Changes
- We strive for high availability but do not guarantee uninterrupted Service.
- We may modify features or discontinue parts of the Service with reasonable notice where practicable.
12. Support
Email support is available to paying customers within business hours. Response times may vary by plan.
13. Suspension & Termination
- We may suspend or terminate accounts for material breaches (e.g., nonpayment, abuse).
- You may export or delete Customer Data prior to termination. We may retain limited data as required by law.
14. Warranties & Disclaimers
- The Service is provided “as is” and “as available”. We disclaim all warranties to the fullest extent permitted by law.
- We do not warrant that the Service will be error-free, uninterrupted, or meet your specific requirements.
15. Limitation of Liability
- To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amounts paid by you to us in the 12 months preceding the claim.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill.
16. Indemnification
You agree to defend, indemnify, and hold harmless The Weekly Dev SRL from claims, damages, liabilities, and expenses arising from your use of the Service, Customer Data, or violation of these Terms or applicable law.
17. Governing Law & Disputes
- These Terms are governed by the laws of Belgium, without regard to conflict of laws.
- Courts located in Belgium shall have exclusive jurisdiction, except where mandatory consumer laws provide otherwise.
18. Changes to Terms
We may update these Terms from time to time. We will post updates here and adjust the “Last updated” date. Material changes will be communicated when appropriate. Continued use after changes constitutes acceptance.
